Job Description

Governance Manager

East Midlands

Role:

  • To provide company secretarial and governance support to the organisation and its subsidiaries
  • Manage the efficient running of the organisation's governance structure. Working with the Chair, Trustees and Committees to shape and manage agendas (and associated documentation) ensuring effective governance of committee activities and that good governance principles are adopted throughout the organisation
  • To ensure all Boards, Committees and sub-committee meetings are managed and serviced to a very high standard
  • To facilitate governance functions such as board recruitment and inductions to ensure they are managed effectively and efficiently and to deliver a comprehensive range of support activities to the Governance secretariat
  • To ensure the logistics for the AGM are coordinated including managing the production and publication of the statutory report and accounts and to ensure filings are completed on time at the Charity Commission, Companies House and all statutory establishments overseas
  • Assist in developing and implementing a Governance Framework enabling the efficient and effective delivery of organisational strategy

The Successful Applicant

Governance Manager

East Midlands

Essential:

  • Significant experience of working in a governance role with knowledge of relevant legal and regulatory requirements
  • Demonstrable experience of successfully managing and servicing boards/committees including planning the annual board/committee business cycle
  • Knowledge and understanding of the characteristics of effective governance, including effective methodologies for board evaluation, growth and development and succession planning
  • Excellent stakeholder engagement skills with proven experience of influencing and managing relationships with Board and Executive stakeholders
